Terms of Service
Please read carefully these terms and conditions (hereinafter, “Terms of Service”) applicable to the use of Assure ID Family platform (hereinafter, “Assure ID Platform”) and Assure ID browser add-ons (hereinafter, “Assure ID Software”) and Assure ID Family management services (collectively, the “Assure ID Services”) provided by Assure ID Inc. (hereinafter “Assure ID”,”We” or “Us”) a Delaware corporation.
If you as a subscriber to Assure ID Services and licensee of Assure ID Software (hereinafter “You” upon acceptance of the Terms of Service) do not agree to the Terms of Service, you must not install Assure ID Software or use Assure ID Services.
You represent you have read and accept the Assure ID Privacy Policy available here, the terms of which are an integral part of these Terms of Service. By using Assure ID Services you agree to be bound by these Terms of Use. Failure to comply with any part of these Terms of Use may result in the termination of your Assure ID Family account. You affirm you are fully capable and empowered, being over 18 years old, to enter into these Terms of Service.
Description
Through Assure ID Services, we provide services for the communication of children’s ages and jurisdictional information to websites and platforms. The Family Management dashboard allows you to create a minor's profile(s) and provide information necessary for online service providers including web operators to deliver safe navigation and browsing experiences in accordance with their legal obligations. The purpose is to allow you to communicate this information for devices used by children (“Users”) so that both you and Users can benefit from this technology.
Assure ID Services are designed and intended exclusively for families. If you use Assure ID Services outside the family context, you do so at your own responsibility and agree that only these Terms of Service will apply to you. You will have access to the service levels and support established in these Terms of Service, and not those provided for other services offered by us.
Use of Assure ID Services
- Use. You agree to use Assure ID Services in accordance with these Terms of Service and applicable laws, in particular, those related to privacy, image rights, honor and reputation, telecommunications secrecy, personal data protection, labor relations, non-discrimination and disclosure of secrets, and any other regulations governing children’s rights. Assure ID is not responsible for the use you make of Assure ID Services. You will not use Assure ID Services in any way that may deteriorate them, or to provide services to third parties or for engage in activities contrary to the law. You may use the Assure ID Services only through the user interfaces of the Assure ID browser add on and the Assure ID Family Management panel at www.AssureID.io, and not through any other interfaces
- Legal Compliance: in order to use the Assure ID Service, You represent and warrant that (i) You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) You are not listed on any U.S. Government list of prohibited or restricted parties.
- Restrictions on Use. You will refrain from using Assure ID Services when it cannot guarantee compliance with any of the following stipulations:
- Assure ID Services can only be used for the purpose defined above, and on devices that belong to You or to Users, or are legally under your control, and when applicable legal regulations allow such transmission without violating the rights of Users or other binding rules.
- You will only use Assure ID Services for personal use and in a domestic setting
- Assure ID Services should only be used after informing and obtaining, unless mandatory compliance with the country’s regulations exempts this, the consent of Users in accordance with applicable regulations, that is, by obtaining informed consent from Users over 14 years of age.
- You agree not to use the Assure ID software, your Assure ID account data and tokens or authentication elements, elements of the Family Management platform other than its graphical user interface, or any connection or connectivity to the Assure ID Services and/or the Assure ID Software for any use not expressly authorized in these Terms of Service.
- You are prohibited from using the Assure ID Services to (a) reverse engineer them (b) violate cybersecurity measures implemented by Assure ID, (c) interfere with and/or damage Assure ID’s technologies, (d) transmit viruses, and (e) gain unauthorized access to any computer system, server or network of Assure ID (in particular, the “Assure ID API”), or (f) gain unauthorized access to any Assure ID computer system, server or network, (f) access data from your Assure ID account or other users on the Assure ID Services, beyond what is permitted for registered users of Assure ID and the family management panel through the graphical user interfaces made available to customers and users.
In any case, it will be your sole responsibility to ensure the legitimate use of Assure ID Services and you will indemnify Assure ID in case of unlawful use of Assure ID Services, in accordance with the ‘Indemnification’ section.
Registration. In order to use Assure ID Services, besides complying with the previous paragraph, You must create a Assure ID Account online at www.assureID.io and complete the corresponding form with your complete and updated information, and agree to these Terms. Passwords are confidential and therefore you must ensure their correct use. You also agree to immediately notify us of any unauthorized use of your Assure ID Account or any other breach of security of which you become aware. Upon receipt of confirmation of your Assure ID Account, you will be granted a limited, revocable, non-exclusive and non-transferable license to use Assure ID Services in accordance with these Terms.
Duration. The Assure ID Account will be activated and will remain in effect unless canceled by You or Us.
Cancellation. You may cancel your Assure ID Account at any time. All cancellation requests should be sent to: support@assureid.io. We may cancel your subscription immediately in the event of a breach of these Terms of Service by sending you written notice to your email address. We reserve the right to delete user accounts that are deemed inactive. An account will be considered inactive if:
- No profiles are associated with the account, and/or
- No devices linked to the account have the required software, such as browser extensions or applications, installed or active.
(2) Prior to deletion, we will notify you via the registered email address at least 30 days in advance, providing you with the opportunity to reactivate your account by adding a profile or reinstalling the required software.
(3) If no action is taken within the specified timeframe, the account and all associated data may be permanently deleted in accordance with our Data Retention Policy.
(4) Deleted accounts cannot be recovered, and it will be the user's responsibility to create a new account should they wish to use the services again.
End of Assure ID Services. In the event of termination of the relationship with Us for any reason under these Terms, access to your Assure ID Account will be disabled and your content will be deleted, except for backup copies (for backup recovery purposes only or for any contingency that may arise in connection with your Assure ID Account) or must be retained by us because of any legal liability arising from our relationship with you. We will keep such data properly blocked under the terms of our Privacy Policy.
Security. We prioritize the security of your data and implement industry-standard security measures, including encryption technologies, to protect your information during transmission and storage where feasible. You understand that Assure ID Services may transmit information over the internet, these communications will be encrypted to ensure security of the content.
APPLICABLE PROVISIONS
Ownership. Assure ID is the owner or licensee of all intellectual and industrial property rights related to Assure ID Services. The use of Assure ID Services does not imply any assignment of all or part of such rights to you or your Users.
Registered trademarks. You will not use our trademarks, commercial names, logos, domain names, other distinctive features of the marks, or any material subject to copyright or associated with Assure ID Services without our consent. You will not remove any information or notices of authorship, ownership of rights or trademarks of Assure ID.
User Contents. In order to provide Assure ID Services, the Platform collects and stores information such as search and browsing transmitted from the devices where Assure ID Software is installed. This information is collected, stored and analyzed on your behalf, and you and the User involved are the sole owners of the content and are solely responsible for all information transmitted to us. You grant us a worldwide, irrevocable, royalty-free, non-exclusive, sub-licensable license to store and process such content on our servers for the provision of Assure ID Services.
Duration. The Assure ID Account will be activated and will remain in effect unless canceled by You or Us.
Warranties. Assure ID Services will be provided in a professional and diligent manner, in accordance with applicable regulations. Any service errors should be notified to the support service support@assureid.io. Except for this express warranty, to the maximum extent permitted by applicable law, Assure ID makes no other warranty, express or implied, regarding Assure ID Services, and disclaims any warranty of fitness or satisfactory quality of the Assure ID Services. If You downloaded the Assure ID Service from Google’s “Chrome Web Store”, in the event the Assure ID Service fails to conform to these warranties, you may notify Google. You are aware that Apple has no other warranty obligation with respect to the Assure ID Service and all other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform with any warranty herein is Assure ID’s responsibility, in accordance with the provisions of these Terms of Service.
Claims: Assure ID is the sole responsible for addressing any claims from You or any third party relating to the Assure ID Software, your possession and/or use of the Assure ID Software. Furthermore, Assure ID is solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.
Limitation of liability. Except to the extent permitted by applicable law: Assure ID will not be liable for (A) any indirect loss, including, but not limited to, lost profits, loss of business opportunities, goodwill or reputation, business interruption, computer failure or other damages; (B) losses arising out of or in connection with the following actions (i) unlawful and/or contrary uses to the provisions of the Assure ID Terms of Service, and in particular, the restrictions on Use set forth in its Clause 2 (ii) the use or inability to use Assure ID Services; (ii) unlawful or unauthorized access to User Data under the provisions of the Privacy Policy; (iv) the deletion or loss of data or messages transmitted through the Assure ID Services or (v) any changes to o Assure ID Services notified to You; (vi) statements or conduct of any third party in providing Assure ID Services. Indemnification. You agree to indemnify and hold us harmless in connection with any matter related to your misuse or improper use of the Assure ID Services to the fullest extent permitted by law.
Modifications. Assure ID reserves the right to modify the design and/or configuration of the Assure ID Services offered, without materially reducing the services offered. In addition, we may modify or update these Terms of Service (including the Privacy Policy). Any substantial modifications will be notified to you, through your provided Assure ID Account email, in a reasonable manner before the modification takes effect, and will be effective on the date of publication. Any further use of the Services will be subject to the new Terms, which you should read carefully.
Provision of service and support. We try to offer Assure ID Services 24 hours a day, 7 days a week. However, due to maintenance, security or capacity issues, as well as some events beyond our control (force majeure), Assure ID Services may be temporarily suspended or affected. Any service errors should be reported to the support service support@assureid.io. We undertake to respond to Your inquiries within 3 business days. You are aware that the entity providing the application store where you downloaded the Assure ID Software has no obligation whatsoever to provide any maintenance nor support service with respect to the Assure ID Software.
MISCELLANEOUS
Confidentiality. You agree to maintain confidentiality and use your best efforts to prevent and protect Assure ID Services and its technical documentation from unauthorized disclosure and/or use of the Services.
Integrity. These Terms of Service set forth the entire agreement between the parties with respect to the subject matter hereof. Any representations, promises or conditions not expressly set forth in the aforementioned texts are not binding on the parties. If any provision of this Agreement is held to be unenforceable, such provision shall be enforced in a modified form to the extent necessary to make it enforceable.
Notifications. You agree to receive our emails regarding the Terms of Service. We will not provide your email address to any third party. We may contact you to provide you with information and send you service notifications regarding your Assure ID Account, or when required by law. You hereby recognize and consent that such notifications will be effective at the time we post them on our sites or send them to you by e-mail. If you do not provide us with accurate information, we cannot assume any liability in the event that we are unable to notify you.
Links. Our Assure ID Platform contains links to third-party websites. We do not make any representations of any kind, nor do we assume any responsibility for or have any control over such sites. Any third-party content or a link to a third-party website is for information purposes only and is not part of the Assure ID Service.
Jurisdiction and applicable law. These Terms of Service shall be governed by Delaware law. All disputes, discrepancies, controversies, questions or claims resulting from the interpretation, execution, breach, resolution or invalidity of this contract or related to it, directly or indirectly, shall be submitted, with express waiver of the jurisdiction that may correspond, to the Court of the subscriber’s (You) domicile. Notwithstanding the foregoing, both parties will make all reasonable efforts to try to resolve disputes amicably.
Third Party Beneficiary: If you downloaded the Assure ID Software from the “Chrome Web Store”, you acknowledge that Google and Google’s subsidiaries are third party beneficiaries of these Terms of Service. Upon Your acceptance of these Terms of Service, Google will have the right to enforce these Terms of Service against You, as a third party beneficiary.
